  2. The Company may amend these Terms to the extent permitted by applicable law.
  3. When the Company amends these Terms, it announces the effective date and the reason for the amendment on the Service from 7 days before the effective date. For changes unfavorable to Members, the Company announces them from 30 days before the effective date and also notifies each Member individually by email.
  4. If a Member does not agree to the amended Terms, the Member may terminate the agreement before the effective date. If the Company, when giving notice under paragraph 3, clearly stated that "failure to object by the effective date will be deemed consent," and the Member does not object, the Member is deemed to have agreed to the amended Terms.

Article 4 Formation of the Agreement

  1. The agreement is formed when an applicant reviews these Terms and the Privacy Policy, applies to sign up through a method offered by the Service such as Google account sign-in, and the Company accepts the application.
  2. Persons under the age of 14 may not sign up.
  3. The Company may refuse an application, or terminate the agreement afterwards, if the applicant used another person's information or previously had their use terminated for violating these Terms.
  4. A Member who signs up on behalf of a business represents and warrants that they are authorized to agree to these Terms on that business's behalf.

Article 5 Managing Accounts and Access Tokens

  1. Members must keep their accounts and Access Tokens from being used by others.

  3. For security, the Company may revoke an Access Token suspected of being leaked or misused without prior notice, and will notify the Member without delay after revocation.
  4. Any action taken by a worker or external tool connected with an Access Token is deemed an action of the Member who issued that token.

Article 6 Provision and Changes of the Service

  1. The Company strives to provide the Service 24 hours a day, every day of the year. However, it does not guarantee uninterrupted service.
  2. Scheduled maintenance is announced 7 days in advance. Emergency incident response or security measures may be announced afterwards.
  3. If the Company changes or removes an important feature of the Service in a way that is unfavorable to paying Members, it gives 30 days' notice and refunds the remaining period's fees to Members who terminate for that reason.
  4. If the Company intends to discontinue the Service, it gives 90 days' notice and allows Customers to download their Customer Data.

Article 7 Paid Services and Payment

  1. The details and fees of Paid Services are posted in the pricing section of golem.so. Plans differ by the number of AI coworkers you can hire and the number of runs per month; runs beyond the limit can be purchased as credit packs.
  2. Domestic payments (Korea): The Company is the seller. Payments are processed by a payment gateway engaged by the Company, and the Company issues tax invoices and receipts.
  3. Overseas payments: Overseas payments are processed by our online reseller Paddle.com, and Paddle.com is the Merchant of Record for all overseas orders. Paddle's buyer terms also apply to overseas payments, and Paddle handles receipts and taxes. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders.
  4. Subscriptions renew automatically for the same billing cycle (monthly or yearly) until the Member cancels, and are charged to the registered payment method on the renewal date. The checkout screen shows the amount, billing cycle, next billing date, and how to cancel.
  5. When a free trial converts to a paid plan or a recurring charge increases, the Company notifies the Member at least 30 days before the change of the date, amount, payment method, and how to cancel, and obtains the Member's separate consent. Without consent, there is no automatic conversion or increase.
  6. Members can cancel from the Service's billing settings through a process as simple as signing up.
  7. Refunds are governed by the separate Refund Policy.

Article 8 Customer Data

  1. Customers own their Customer Data.
  2. The Company processes Customer Data only to provide the Service, respond to incidents, maintain security, and comply with law.

Article 9 AI Coworkers

  1. AI coworkers run on generative artificial intelligence (such as Anthropic Claude). Output and messages produced by an AI coworker are labeled as AI-generated.
  2. AI coworkers act only within the permissions the Member grants in the console (connected channels, available tools, and tasks that require human approval). Setting and changing those permissions is the Member's responsibility, and actions an AI coworker takes within them are treated as the Member's instructions.
  3. What an AI coworker does (runs, outputs, and messages sent externally) is recorded in the console, and the Member can pause or dismiss it at any time.
  4. AI output may be inaccurate or incomplete. Members must review output before using it, and the Company does not guarantee its accuracy.
  5. Rights in the output belong to the Member to the extent the Company holds such rights.
  6. Members must not assign AI coworkers work that infringes others' rights or violates laws or the AI provider's usage policies.
  7. The Company does not use Customer Data or AI coworker inputs and outputs to train AI models, and sends them to AI providers only under terms that prohibit training.
  8. If a Member runs a worker on their own computer with their own AI provider account, that provider's terms and fees also apply.

Article 10 External Service Integrations

  1. When a Member connects an external service (messengers such as Discord and KakaoTalk Channels, work tools, AI provider accounts, etc.), Customer Data is sent to that service to the extent the Member directs. Processing after transfer is governed by that external service's terms.
  2. Integration features may be limited by outages or policy changes of external services.
  3. Messages from third parties who talk to an AI coworker in a channel the Member connected (for example, a customer asking a question through a KakaoTalk Channel) are also Customer Data. The Member is responsible for telling those people that an AI is responding and for what purpose.
  4. Data left on the Member's device by a worker or the desktop app running on the Member's computer is managed by the Member.

Article 15 Limitation of Liability

  1. The Company is not liable for damages caused by force majeure, causes attributable to the Member, or outages of external services beyond the Company's control. However, where the Company's intent or negligence is also involved, the Company is liable to that extent.
  2. Unless caused by the Company's intent or gross negligence, the Company's liability to a Customer in connection with these Terms is limited to the total fees the Customer paid the Company during the 12 months immediately before the damage occurred.
